IRON MAIDEN: LEGACY OF THE BEAST ARENA TEAM BUILDING CONTEST

NO PURCHASE NECESSARY TO ENTER THIS CONTEST. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. ENTRY IN THIS CONTEST CONSTITUTES YOUR ACCEPTANCE OF THESE OFFICIAL RULES.
Nodding Frog Limited (the “Sponsor”), a London, United Kingdom corporation located at 10 John St., London, WC1N 2EB, is proud to organize a free Contest named the Iron Maiden: Legacy of the Beast Arena Team Building Contest (the “Contest”).
Contest Period
The entry period for the Contest starts on February 23, 2017 at 1:30 p.m. Pacific Time (“PT”) and ends on March 9, 2017 at 11:59 p.m. PT (the “Entry Period”). Any entries sent and/or received after the closing time and date will not be considered.
Eligibility
Participation to the Contest is free and no purchase is necessary to enter or win. The Contest is open to all residents of Canada, the United Kingdom and the continental United States (excluding residents of Quebec, Canada, Northern Ireland and Rhode Island, USA) who have reached the age of majority in their state, province or territory of residence as of the start of the Entry Period (the “Participants”) and the Sponsor reserves the right to request that all Participants provide proof of the entry conditions. Internet access will be required to enter the contest. Anyone failing to fulfill the entry conditions or refusing to provide proof of them will be excluded from the Contest and may not claim any prize. Employees, directors, officers, agents and other representatives of the Sponsor are not eligible to enter or win. The Contest is subject to all applicable federal, state, provincial, and local laws and regulations and is VOID IN QUEBEC, NORTHERN IRELAND, RHODE ISLAND AND WHERE PROHIBITED BY LAW.
How To Enter
To enter the Contest, Participants must, before the end of the Entry Period:
– Take 4 SCREENSHOTS (1 PER CHARACTER) – featuring the Talisman buildout of each character on your top offensive Arena team. Simply go into the MY TEAM screen in the Iron Maiden:Legacy of the Beast App and tap the TALISMAN TAB on your Lead Eddie and 3 supporting characters, and ;
– WRITE A SHORT DESCRIPTION (250 word maximum) on why this specific combination of characters and talismans is best suited for battle in the Iron Maiden: Legacy of the Beast Arena; and ;
– Submit the entry via email to Nodding Frog at contest@noddingfrog.com ;
Participants may only submit one Entry in the Contest. Participants may only enter Entries of Screenshots of their own characters. Submitting an Entry is not an indication that the entrant has won a prize or is otherwise eligible for a prize.

Entry Requirements
All Entries must meet the following “Entry Requirements”, by submitting an Entry, entrants warrant that they have the right and authority to submit the Entry and that such Entry is compliant with the Entry Requirements. Any Entry that the Sponsor deems, in its sole discretion, to not comply with the following Entry Requirements or to otherwise violate the terms and conditions set forth in these Official Rules will be disqualified from the Contest.
(a) Entries must be original work or be submitted by permission with full and proper credit given within the Entry;
(b) Entries must not contain confidential information or trade secrets (yours or anyone else’s);
(c) Entries must not, to the best of the entrant’s knowledge, violate or infringe upon the patent rights, industrial design rights, copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity;
(d) Entries must not contain malicious code, such as viruses, malware, timebombs, cancelbots, worms, Trojan horses or other potentially harmful programs or other material or information;
(e) Entries must not violate any applicable law, statute, ordinance, rule, regulation, confidentiality agreement or other agreement; and
(f) Entries must not trigger any reporting or royalty or other obligation to any third party.
A breach of any warranty set out in this provision of the Official Rules will result in the corresponding Entry being invalid. In addition, and where applicable, legal action may be taken against the entrant and said entrant will indemnify the Sponsor against all loss, damages and costs incurred by the Sponsor arising from the breach of the warranty.
The Sponsor and the Partner are not responsible for late, lost, misdirected, delayed, incomplete or incompatible entries. Sponsor reserves the right in its sole discretion to disqualify any entrant it finds to be attempting to tamper with or undermine the entry process or the legitimate operation of the Contest or to be acting in violation of these Official Rules.
Granting Of Rights
By submitting an Entry, entrant hereby grants permission for the Entry to either be used or posted in any format associated with the Sponsor including on social media and on the web properties owned by the Sponsor, by:
(i) giving the Sponsor a non-exclusive, perpetual, transferable, irrevocable, royalty-free, fully paid-up license to use, modify, publish, create derivative works from, and display his/her Entry, in whole or in part, on a worldwide basis, and to incorporate it into other works, in any form, media or technology now known or later developed, including for promotional or marketing purposes;
(ii) waiving all rights and moral rights in and to his/her Entry in favor of the Sponsor, and their successors and assigns; and
(iii) agreeing to release and hold harmless the Sponsor, their advertising and promotion agencies, and each of their respective agents, employees, directors, successors and assigns (the “Released Parties”) from and against any and all claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trade-mark infringement or any other intellectual property related cause of action. For greater certainty, the Sponsor reserves the right, in its sole discretion, to modify, edit or remove any Entry, or to request an entrant to modify or edit any Entry, if a complaint is received with respect to the Entry, or for any other reason.
Prize
There is one (1) Grand Prize (the “Grand Prize”) and two (2) secondary prizes (three (3) prizes in total) available to be won, which are:
1) The Grand Prize is a pair of Onkyo ED-PH0N3S valued at approximately $299 USD;
2) The secondary prizes are:
i) An Iron Maiden: Legacy of the Beast t-shirt, and an Iron Maiden: Legacy of the Beast poster valued at approximately $30
ii) An Iron Maiden: Legacy of the Beast poster valued at approximately $10 USD;
The prizes are not transferable and cannot be substituted or converted to cash; however, the Sponsor reserves the right, in its sole and absolute discretion, to substitute all or part of the Prize for a prize or prizes of equivalent value, for any reason. All federal, state, provincial and local taxes associated with acceptance or use of the Prize are the sole responsibility of the winner.
Winner Selection
All eligible Entries received during the Entry Period will be reviewed, judged and scored by Iron Maiden: Legacy of the Beast designers (“Judges”) based on the following criteria (the “Judging Criteria”):
1) Arena Viability [40%]**
2) Team Synergy [30%]
3) Creativity [30%]
**Arena viability will be scored based on the submitted team’s ability to attack and survive battles against a set number of adversaries commonly found in the Arena, as determined by the Judges. Each submitted team will be judged AS IF the characters and talismans are fully powered up (5* Level 100 for characters, 5* Level 50 for talismans).
The entrant whose Entry receives the highest score from the Judges based on the Judging Criteria will be declared the potential winner. In the event of a tie, the entrant whose Entry received the highest score in the “Creativity” category will be declared the potential winner. The potential winner will be determined between March 10, 2017 and March 19, 2017 (“Selection Period”). The winners of the secondary prizes will be the entrants’ whose Entry received the second and third highest scores from the Judges based on the Judging Criteria.
Winner Notification
The Sponsor will make a minimum of 3 attempts to contact the potential winner within 5 business days of March 20, 2017 (the “Winner Notification Date”). The Grand Prize winner and secondary prize winners will be contacted via email to the email address used to submit the Entry. Notified winners must respond to said message within fourteen (14) days in order to redeem their prize.
Prior to being confirmed as the winner, the potential winners will be required to complete, sign and return a declaration of compliance and release form, which may contain a skill-testing question, and also requires that the potential winner consent, except where prohibited, as a condition of receiving the Prize, to the use of his/her name, address, comments, photograph and/or likeness in any advertising or other publicity by Sponsor, without any payment or other compensation and otherwise be in compliance with these Official Rules. If the potential winner cannot be contacted within five business days of the Winner Notification Date or there is a return of any notification as undeliverable, fails to complete, sign and return the declaration of compliance and release form within five business days of receiving it, or is otherwise not in compliance with these Official Rules, then the potential winner may, in the sole and absolute discretion of the Sponsor, be disqualified (and, if disqualified, will forfeit all rights to any Prize), in which case the entrant whose Entry was given the next highest score by the Judges based on the Judging Criteria will be declared the potential winner (in which case the foregoing provisions of this section shall apply to such potential winner).
Odds
The odds of winning will be entirely dependent on the number of eligible entries received during the Entry Period and the quality of the Entries received.
General Conditions
By participating, each entrant agrees to abide by these Official Rules and decisions of the Sponsor, which shall be final and binding in all respects relating to this Contest. The Contest will be run in accordance with the Official Rules, subject to amendment by Sponsor. Each entrant must comply with the Official Rules and will be deemed to have received and understood the Official Rules by participating in the Contest. The terms of the Contest, as set out in the Official Rules, are not subject to amendment or counter offer, except as set out herein.
If any provisions of the Official Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision.
Without limitation, the Released Parties will not be liable: for any technical malfunction or other problems relating to the network or lines, computer on-line systems, servers, access providers, computer equipment or software; for the failure of any Entry to be received by the Sponsor for any reason including, but not limited to, technical problems or traffic congestion on the Internet or at any website; for printing or other errors appearing in these Official Rules or other Contest materials, misprints or errors in other Contest-related information, technical or mechanical malfunctions, or other problems or errors, whether caused by equipment, programming used in this Contest, processing errors, human errors or otherwise; or any combination of the above. Further, the Released Parties will not be liable for any injury or damage to an entrant’s or any other person’s computer or data contained therein, related to or resulting from participating or downloading any material in the Contest.
The Sponsor reserves the right to withdraw, suspend or amend this Contest or these Official Rules for any reason, including in the event that an error, technical problem, computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure or any other cause beyond the reasonable control of the Sponsor interferes with the proper conduct of the Contest as contemplated by these Official Rules. In the event of termination, Sponsor will award the Prize as deemed fair and equitable, by the Sponsor.
In the event of a dispute, entries will be deemed to have been submitted by the authorized account holder of the email account used to submit the Entry at the time of submission. “Authorized account holder” is defined as the person who owns the email address assigned by an internet provider, online service provider, or other organization (e.g. business, educational institute, etc.) that is responsible for assigning email addresses.
All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrants and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the Province British Columbia, Canada.
Release And Indemnification
BY PARTICIPATING IN THIS CONTEST, ENTRANTS AGREE TO RELEASE, DISCHARGE AND HOLD THE RELEASED PARTIES HARMLESS FROM AND AGAINST ANY AND ALL ACTIONS, CAUSES OF ACTION, CLAIMS, COSTS AND PAYMENTS FOR DAMAGES, LOSS, INJURY, OR DEATH, HOWEVER OCCURRING, IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, AS A RESULT OF PARTICIPATING IN THE CONTEST OR ANY CONTEST-RELATED ACTIVITY OR RESULTING FROM ACCEPTANCE, USE, OR MISUSE OF, OR PARTICIPATION IN, THE PRIZE.
Privacy
Information submitted in connection with the Contest will be treated in accordance with these Official Rules and Sponsor’s Privacy Policy (as amended from time to time), currently available at https://ironmaidenlegacy.com/terms-of-service/; provided, that in the event of any conflict between these Official Rules and such Privacy Policy, the terms and conditions of the Official Rules shall prevail.
By entering the Contest, entrant agrees that Sponsor may share entrant’s personal information with Partner for the purpose of Prize fulfillment in the event entrant is chosen as a potential winner. If entrant should elect, entrant’s personal information will also be used by the Sponsor to send entrant information about products, services, events, surveys and special offers that may be of interest. By accepting any of the prizes, each winner agrees that the Sponsor may use the winner’s Entry, picture, name, city and province or state of residence, in any and all commercial manner including statements for marketing, advertising and publicity in any media or social media without compensation and that the Sponsor.
Participants have the right to access, rectify and remove data concerning them. In order to do so, please contact the Sponsor at support@ironmaidenlegacy.com.
